BYLAWS OF TRUSTEES OF TUFTS COLLEGE
Amended by the Board November 8, 2008

Article III

THE OFFICERS OF THE CORPORATION

3.2.1 VACANCIES. Any vacancy in any such office may be filled by the Executive Committee upon the recommendation of the President and the person so elected to fill the vacancy shall hold office until the next annual meeting or until his or her successor shall be duly elected and qualified.

3.2.2 NEW POSITIONS. In the intervals between meetings of the Board of Trustees, the Executive Committee may, upon the recommendation of the President, create and fill any position having a title that includes the words "Vice President", "Treasurer", or "Secretary". The person so elected shall serve at the will of the Board of Trustees.

3.2.3. SIGNATORY AUTHORITY. The President shall have power to sign in the name and on behalf of the Corporation all duly authorized contracts, deeds and other instruments, including acceptances of gifts, bequests and devises to the University. Any such instrument may also be signed in the name and on behalf of the Corporation by any Vice President, the Chair of the Board or any other person designated for that purpose by the Board of Trustees or the Executive Committee.
